TSEKMO AFFILIATE PROGRAM TERMS & CONDITIONS

1. AGREEMENT TO TERMS

By signing up for the Tsekmo Affiliate Program (the “Program”), you (“Affiliate” or “You”) agree to be bound by these Terms & Conditions (“Agreement”). If you do not agree, you may not participate in the Program.

2. PROGRAM OVERVIEW

The Tsekmo Affiliate Program allows users to earn commissions by:

  • Reporting dirty bathrooms or Referring clean bathrooms via the Tsekmo platform.
  • Each reported or referred bathroom is linked to the affiliate’s unique referral code and displayed on the Tsekmo Public Map.
  • When an entity (business, venue, or organization) signs up for a paid Tsekmo subscription or product through your affiliate link, you earn a 40% commission from Tsekmo’s net revenue for up to 12 months, provided the entity maintains an active subscription.

3. AFFILIATE REQUIREMENTS

To qualify as an affiliate, you must:

  • Be at least 18 years old or of legal age in your country.
  • Have an active Tsekmo account.
  • Not engage in fraudulent, misleading, or spammy promotional tactics.
  • Comply with all applicable laws, including GDPR, CAN-SPAM, and FTC disclosure rules when promoting Tsekmo.

4. COMMISSION STRUCTURE & PAYMENTS

4.1 Earning Commissions

  • You earn 40% of Tsekmo’s net revenue from each successfully referred entity.
  • Net revenue is calculated after payment processing fees (e.g., Stripe, PayPal fees).
  • Payments are made monthly for 12 months as long as the referred entity remains subscribed.

4.2 Example Commission Calculation

Monthly Subscription Example

  • Entity signs up at: $4.95/month
  • Total revenue (100 entities): $495.00/month
  • Processing fees (~9%): $44.36/month
  • Net revenue (Tsekmo’s cut): $450.64/month
  • Affiliate’s commission (40%): $180.26/month for 12 months

Annual Subscription Example

  • Entity signs up at: $4.95/month billed annually ($59.40/year)
  • Total revenue (100 entities): $4,950.00/year
  • Processing fees (~9%): $443.60/year
  • Net revenue (Tsekmo’s cut): $4,506.40/year
  • Affiliate’s commission (40%): $150.21/month for 12 months

4.3 Payout Schedule

  • Commissions will be paid after a 45-day waiting period following each entity’s subscription payment.
  • This allows time for potential cancellations or refunds.

4.4 Payout Threshold

  • Payments will be issued only if the affiliate’s commission balance reaches $100.00.
  • If an affiliate does not reach $100.00 within a calendar year, their balance will be paid out at year-end, regardless of amount.

4.5 Payment Methods

  • Payments are made via PayPal, direct bank transfer, or other available methods as per Tsekmo’s discretion.
  • Any transaction fees associated with payments are deducted from the affiliate’s earnings.

5. CANCELLATIONS & REFUNDS

  • If a referred entity cancels their subscription, all unpaid commissions related to that entity will be automatically voided.
  • Affiliates will not receive commissions on refunded or disputed transactions.

6. AFFILIATE RESTRICTIONS

Affiliates must not:

  • Engage in fraudulent activities, such as self-referring, spam, or misleading claims.
  • Use cookie stuffing or unauthorized tracking techniques.
  • Bid on Tsekmo-branded keywords in paid advertisements (e.g., Google Ads).
  • Promote Tsekmo on adult, gambling, or illegal websites.
  • Engage in negative marketing (e.g., “Tsekmo is a scam, but I found a better alternative”).

Failure to comply will result in account termination and forfeiture of commissions.

7. AFFILIATE DISCLOSURE REQUIREMENTS

Per FTC and GDPR guidelines, affiliates must disclose their relationship with Tsekmo when promoting the platform. Example disclosure:

"This post contains affiliate links. If you sign up through my link, I may earn a commission at no extra cost to you.”

8. INTELLECTUAL PROPERTY & BRAND GUIDELINES

Affiliates may use approved Tsekmo logos and branding materials but must not modify them.
​Affiliates cannot:

  • Create websites or social media pages impersonating Tsekmo.
  • Use Tsekmo’s trademarks in domain names (e.g., TsekmoDeals.com is not allowed).

9. LIMITATION OF LIABILITY

Tsekmo does not guarantee earnings and is not responsible for:

  • Website downtime or tracking failures.
  • Affiliate payment failures due to incorrect payment information.
  • Any indirect, incidental, or consequential damages from participating in this program.

Tsekmo reserves the right to change commission rates, terms, or terminate the program at any time.

10. TERMINATION OF AFFILIATE ACCOUNT

Tsekmo may suspend or terminate an affiliate’s account if:

  • They violate any terms outlined in this Agreement.
  • They remain inactive for 12 consecutive months.
  • They engage in fraudulent or deceptive marketing practices.

Affiliates forfeit any unpaid earnings if their account is terminated due to a policy violation.

11. MODIFICATIONS TO TERMS

Tsekmo reserves the right to update, modify, or terminate the affiliate program and its terms at any time. Affiliates will be notified of significant changes via email.

12. GOVERNING LAW & DISPUTE RESOLUTION

  • This Agreement shall be governed by the laws of the State of Delaware, USA.
  • Any disputes shall be resolved through binding arbitration in Delaware.
  • Affiliates agree to waive their right to a class-action lawsuit.

TSEKMO GLOBAL LEGAL PROTECTION AGREEMENTS

​These agreements collectively protect Tsekmo from legal threats worldwide, ensuring compliance with international, regional, and national laws.

1. DEFAMATION & REPUTATIONAL HARM PROTECTION AGREEMENT

1.1 Scope

This agreement protects Tsekmo, its affiliates, employees, executives, and contractors from false, misleading, or harmful statements that damage its reputation.

1.2 Legal Protections

  • Universal Defense Clause: Users and third parties agree not to publish, share, or promote false, misleading, or defamatory statements about Tsekmo.
  • Truth and Opinion Protection: Statements must be factually accurate; opinions that imply false facts will be treated as defamation.
  • Non-Disparagement Clause: Any entity or individual contracting with Tsekmo agrees not to engage in conduct that damages its reputation, including online attacks, fake reviews, or spreading false information.

Governing Law:

  • USA: Protected under the Communications Decency Act (47 U.S.C. § 230) for third-party content.
  • EU/UK: Compliant with Article 17 of the E-Commerce Directive and UK Defamation Act 2013.
  • Worldwide: Legal actions will be pursued in Tsekmo’s primary jurisdiction and under the Hague Convention on Service of Process if necessary.

1.3 Remedies for Defamation

  • Immediate Takedown Requests under the Digital Millennium Copyright Act (DMCA) or similar local laws.
  • Litigation & Damages for loss of business, emotional distress, and punitive damages in applicable jurisdictions.

2. PRIVACY & DATA PROTECTION AGREEMENT

2.1 Scope

Protects Tsekmo from privacy-related claims while ensuring compliance with global privacy regulations.

2.2 Compliance with Global Privacy Laws

General Data Protection Regulation (GDPR) – Europe

  • Users may request data deletion, but Tsekmo retains necessary business records for compliance.

Personal Data Protection Act (PDPA) – Singapore

  • Data may be transferred outside Singapore but remains subject to security controls.

Brazil’s LGPD, India’s DPDP, and Other Laws

  • Tsekmo follows strict security protocols and encryption measures globally.

2.3 Legal Protections

  • Waiver of Unfounded Claims: Users agree not to sue Tsekmo for privacy-related issues unless there is verifiable proof of gross negligence.
  • Third-Party Data Sharing:
  • Tsekmo does not sell personal data.
  • Any third-party service providers must comply with strict confidentiality agreements.

3. CONSUMER PROTECTION & LIABILITY DISCLAIMER

3.1 Limitation of Liability

Tsekmo is not liable for:

  • Service unavailability, bugs, or downtime.
  • User-generated reports (e.g., incorrect bathroom cleanliness reports).
  • Errors, misinformation, or third-party reliance on Tsekmo’s public map.

3.2 Global Compliance with Consumer Protection Laws

  • USA: Adheres to the Federal Trade Commission (FTC) Act and state consumer laws.
  • EU/UK: Follows Consumer Rights Directive and UK Consumer Rights Act 2015.
  • Australia: Compliant with Australian Consumer Law (ACL).
  • Rest of the World: Tsekmo limits liability unless explicitly required by law.

3.3 Arbitration & Dispute Resolution

  • Mandatory arbitration clause in Delaware, USA for all disputes.
  • Users waive class-action rights.

4. INTELLECTUAL PROPERTY (IP) PROTECTION AGREEMENT

4.1 Scope

This protects Tsekmo’s trademarks, copyrights, patents, trade secrets, and proprietary software.

4.2 Global IP Protection

Tsekmo’s brand, logo, and content are legally protected under:

  • USA: Lanham Act, Copyright Act of 1976.
  • EU: European Union Intellectual Property Office (EUIPO).
  • China: China National Intellectual Property Administration (CNIPA).
  • Worldwide: Compliant with World Intellectual Property Organization (WIPO) treaties.

4.3 Enforcement Actions

  • Immediate legal takedowns for unauthorized use.
  • Pursuit of damages for infringement and misrepresentation.

5. CONTRACTUAL DISPUTES WITH ENTITIES AGREEMENT

5.1 Business Agreements

Entities using Tsekmo’s services must sign a legally binding contract with specific terms covering liability, payment, and service use.

  • Arbitration first, then litigation if necessary.
  • Choice of Law: Delaware, USA, unless otherwise stated.

6. REGULATORY COMPLIANCE AGREEMENT

6.1 Global Regulatory Compliance

USA

  • Federal Communications Commission (FCC) compliance for digital communications.
  • Privacy Shield compliance for EU-US data transfers.

EU

  • Compliance with EU Digital Services Act (DSA).

Other Jurisdictions:

  • Tsekmo ensures cross-border compliance via local legal counsel.

7. FALSE CLAIMS BY USERS AGREEMENT

7.1 User Responsibility & Legal Liability

Users submitting false reports about bathroom conditions or making false claims against Tsekmo will be held legally responsible.
​Legal Remedies:

  • Permanent account bans for repeat offenders.
  • Fines and penalties for fraudulent claims.

7.2 Legal Action Against Malicious Claims

Defamation lawsuits will be pursued against users making false allegations that damage Tsekmo’s reputation.

8. FINAL AGREEMENT CLAUSES

8.1 Severability Clause

If any part of these agreements is found to be unenforceable in a jurisdiction, the remaining terms remain fully in effect.

8.2 No Waiver Clause

Failure to enforce any part of this agreement does not constitute a waiver of Tsekmo’s rights.

8.3 Modifications & Updates

Tsekmo reserves the right to update these agreements at any time. Users and entities will be notified of major changes.
